I'm not so sure that it is so that many companies "like" to incorporate in Delaware, it's just that for a corporation it's the smart thing to do. Delaware is so little and E.I. du Pont de Nemours was (and is) so damned BIG. So big old du Pont held such sway in little old Del. that all of the corporate and bankruptcy laws just turned out to be to the benefit of the corporations and that's why all the little corplings rushed there to set up bidness, even if only in a P.O. box. I suppose a company that made its first of its many millions in explosives might have to be careful about liabilities and such.
