In fact, the usual governance problem is that the Board and officers entrench themselves to keep collecting goodies from the company, to the detriment of the stockholders. Here, Musk offered a number that was so ludicrously high that saying no could not possibly be defended.

Because the shareholder voted for it in mid Sept. If the people who own the company want to sell it, it is their right to do so. The board was simply acting on the instructions of the shareholders.

Now you can call the shareholders greedy, but if someone came up to you and offered you $60,000 in cash for your car, would you take the offer?

No, I wouldn't, because that wouldn't be enough to buy the EV I like. It costs $75,000. Meanwhile, I love my car which is 18 years old and has 175,000 miles on it and has a Blue Book value of exactly $0, so nobody would pay me $60,000 for it. I'm not saying they shouldn't have sold Twitter, I'm saying they shouldn't have sold it to Elon.

According to what I read on the Interwebs, a CEO or board is not legally obliged to maximize shareholder value. They are only obligated to maximize the value of the corporation and act in its best interest. The Twitter board clearly did not do that.

An SUV just went at high speed through the front window of an Apple Store in Hingham Mass, crossing a parking lot and wide sidewalk area to do so. Killed one and injured a lot more, Life Flight airlifts. Looks like it had to dodge bollards and went dead center through the glass.

They just announced it's now a criminal investigation.

This case was a bit different than usual because they actually took the terrorist alive. The defense is sure to be that he was radicalized by right-wing anti-LGBT people like Matt Walsh and Candace Owens.
